9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROUGH CUT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability to you for any claim shall not exceed the greater of $100 or the amount you paid us (if any) in the twelve months preceding the claim.

These Terms shall be governed by the laws of the State of Oregon, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Oregon.

14. Miscellaneous

These Terms constitute the entire agreement between you and Rough Cut regarding the Services. If any provision is held invalid, the remaining provisions shall remain in effect. Our failure to enforce any right does not constitute a waiver.
